These Terms of Use ("Terms") govern your use of cplofmngs.com (the "Site") and of the SOUND application for macOS (the "App"), published under the CPL OF MNGS brand by [LEGAL ENTITY NAME], a company registered in Portugal with registered office at [ADDRESS, Portugal] and tax number (NIF) [NIF] ("we", "us"). By using the Site or installing the App you agree to these Terms.
1. The App and licence
SOUND is currently provided free of charge. We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on Macs you own or control, for your own use. You may not reverse engineer, decompile, or redistribute the App except to the extent such restriction is prohibited by applicable law.
The App processes audio locally on your device. It requires a one-time macOS system permission to access system audio, which you may revoke at any time in System Settings; core functionality depends on it.
2. Downloads and updates
The App is distributed as a direct download from the Site. It may check for and install updates to keep itself current and secure; you can decline individual updates, though older versions may stop being supported.
3. Intellectual property
The App, the Site, and all related content — including the SOUND and CPL OF MNGS names, logos, and the app icon — are our property or licensed to us and are protected by intellectual property law. These Terms grant you no rights in them except the licence above.
4. Acceptable use
You agree not to misuse the Site or the App, including by attempting to disrupt their operation, misrepresenting your identity when contacting us, or using the App in violation of applicable law or of third-party rights.
5. Warranties and liability
The App is provided "as is". To the maximum extent permitted by applicable law, we disclaim all warranties and will not be liable for indirect or consequential damages arising from the use of the Site or the App. Nothing in these Terms excludes or limits liability that cannot be excluded under Portuguese or EU law, including mandatory consumer protections and liability for wilful misconduct or gross negligence. If you are a consumer in the EU, you retain all rights granted by mandatory consumer law.
6. Privacy
How we handle personal data is described in our Privacy Policy. In short: your audio never leaves your Mac, and the only personal data the Site asks for is an email address to deliver the download.
7. Changes to the App or these Terms
We may modify or discontinue the App or the Site, and may update these Terms. The "last updated" date reflects the current version; material changes will be posted on this page. Continued use after a change constitutes acceptance.
8. Governing law and disputes
These Terms are governed by Portuguese law. Any dispute will be submitted to the courts of [Lisbon / entity's judicial district], Portugal, without prejudice to mandatory consumer rules that let you sue or be sued in your country of residence.
If you are an EU consumer, you may also use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr. In Portugal, consumer disputes may be referred to the competent alternative dispute resolution entities listed at consumidor.gov.pt.
